These terms govern your use of the LocoSOFT public website at locosoft.co.nz and any staging or related public pages we make available (the Website). By using the Website, you agree to these terms. If you do not agree, please do not use the Website.
In these terms, LocoSOFT, we, us and our refer to LocoSOFT, New Plymouth, New Zealand.
1. Website information
The Website provides general information about LocoSOFT, our operating model, products, services, pricing pathways, resources and support options. We aim to keep this information accurate and current, but it may be incomplete, change over time or describe products and features that are still being developed, piloted or scoped.
Website content is general information only. It is not legal, financial, procurement, governance or other professional advice, and it should not be relied on as a substitute for advice suited to your council or organisation.
2. Product and service agreements
These Website terms do not govern a council’s or organisation’s subscription to, implementation of, or use of a LocoSOFT application, including LocoDELEGATIONS. Those services are governed by the applicable proposal, order, subscription agreement, service terms, privacy and security arrangements, and any other agreement between LocoSOFT and the relevant organisation.
If these Website terms conflict with a signed customer agreement, the signed customer agreement takes priority for the relevant product or service.
3. Enquiries, demonstrations and resources
Submitting an enquiry, requesting a demonstration or test access, or downloading a resource does not create a customer, partnership, agency or advisory relationship and does not commit either party to proceed with a purchase or project. Any commercial offer is subject to its stated terms, availability, approval and any required agreement.
You are responsible for ensuring that information you submit is accurate and that you are authorised to provide it on behalf of your organisation.
4. Shared challenges and other submissions
If you submit a shared challenge, idea, suggestion or other material through the Website, you confirm that you are entitled to provide it and that our consideration of it will not breach an obligation you owe to another person. Please do not submit confidential information, personal information about others, protected council information or third-party intellectual property through a general Website form.
You retain ownership of your pre-existing material. You give LocoSOFT permission to review, discuss and evaluate the submission for the purpose for which it was provided, including considering whether the underlying challenge may be shared across the sector. A submission does not require LocoSOFT to develop, fund or adopt an idea, and it does not by itself give either party ownership of any future product or development. Any co-design, development, confidentiality or intellectual-property arrangements will be agreed separately where required.
5. Acceptable use
You must not use the Website to:
- break any law or infringe another person’s rights;
- submit unlawful, misleading, harmful or unauthorised material;
- attempt to gain unauthorised access to the Website, its systems or data;
- introduce malware, interfere with security or disrupt the Website;
- probe, scan, scrape or extract content or data in a way that places an unreasonable load on the Website or circumvents access controls; or
- impersonate another person or misrepresent your authority or affiliation.
We may restrict access, remove submissions or take other reasonable steps if we believe the Website is being misused or its security is at risk.
6. Intellectual property
Unless stated otherwise, LocoSOFT or its licensors own the Website and its content, including branding, text, graphics, software, page designs and downloadable materials. You may view, download and print Website content for your organisation’s legitimate internal evaluation or use, provided you do not remove ownership notices or present the content as your own.
You may not reproduce, modify, publish, sell, license or commercially exploit Website content without our prior written permission, except where permitted by law or expressly allowed on the Website.
7. Third-party links and content
The Website may link to third-party websites, resources or services. Links are provided for convenience and do not necessarily mean we endorse or control the third party. Your use of third-party services is governed by their own terms and privacy practices.
8. Availability and security
We take reasonable care in operating the Website, but we do not guarantee that it will always be available, uninterrupted, error-free or free from harmful components. We may change, suspend or withdraw Website content or functionality for maintenance, security, operational or other legitimate reasons.
9. Responsibility and liability
To the maximum extent permitted by law, LocoSOFT is not responsible for loss arising solely from reliance on general Website content, temporary Website unavailability, or third-party content or services outside our control. We are not liable for indirect or consequential loss arising from use of the Website.
Nothing in these terms excludes or limits any right, remedy, guarantee or liability that cannot lawfully be excluded or limited. Where any mandatory law applies, these terms operate subject to that law.

Our collection and use of personal information through the Website is described in our Privacy Policy.
11. Changes to these terms
We may update these terms to reflect changes to the Website, our services or applicable law. The current version will be published on this page with its effective date. Your continued use of the Website after an update means the revised terms apply from that point.
12. Governing law
These terms are governed by New Zealand law. The New Zealand courts have non-exclusive jurisdiction over disputes relating to these terms or the Website.
